myLaminin Corp. (“myLaminin,” “we,” or “us”) respects your privacy. Our digital platform is designed to support Principal Investigators in the effective management and secure sharing of sensitive research data, management of agreements that must be put in place to support this data-sharing with team members, external collaborators, and research participants, as well as the operational control and interactions with research legal services, research ethics boards, and research librarians. This Privacy Policy (“Policy”) describes how we collect, use, and disclose information about individuals and employees of businesses that use the platform, and other platform visitors in connection with our Services (“Users”) and the online services provided through us (collectively, the “Services”). This Policy does not apply to information you submit directly to third parties, including the organizations and individuals with whom you connect on the Services. This Privacy Policy should be read in accordance with the Terms of Use.

In this Policy, we describe:

Use of AI Agents

We may utilize Artificial Intelligence (“AI”) Agents to enhance our services, provide customer support, and process specific service requests. Use of these AI Agents is optional and available only on a client opt-in basis. All AI functionality is delivered in accordance with the data protection principles described in this Policy.
2. AI Data Handling and Non-Storage Commitment
When you interact with AI Agents on our platform, the information you provide is processed in real time solely to generate a response or complete your request.

What We Collect and How
Data That We Collect
We collect Personal Information and Other Information about Users in connection with the Services. For the purposes of this Policy, “Personal Information” is any information provided to us or generated within our Services or Website that personally identifies or could be used to identify an individual, such as name or email address, identification number or other information which could be reasonably linked to such identifying information.
“Other Information” is any information we collect that is not Personal Information.

Identifiers
Name, email address, phone number, billing and mailing address, research institution, IP address, National Identification numbers, and documents that may include your photograph (including government identification).
Financial Information
Bank and credit account, and details of any transactions carried out using our Services.
Research Information
Information related to the research you are undertaking including, team members, external collaborators, research participants, and data captured and analyzed as part of your research activity which may include sensitive data of participants. This may also include the survey participant's time zone and contact information as well as the number of logins.
Professional or Employment Information
Name and contact information, professional credentials and skills, educational and work history, interviews, certifications, and other information of the type included on a resume, curriculum vitae or cover letter.
Internet or Other Similar Network Activity
Other information is collected through Cookies and other tracking technologies as listed and described below.

Any other information you choose to provide us (e.g., when you send us an email/otherwise contact us).
How Do We Collect Data?
We may collect personal data directly from you, from third parties, and through the use of cookies and metadata collected on our Website and Services.
We, and our third-party service providers, collect information automatically through our Services. When We Collect Your Information and How We Use It
myLaminin collects your personal data whenever you do any of the following and uses it as described:
Creating an Account: To access certain features on the Website, you are required to create an account and provide your email address and password or sign in with Google. Your login information is used to create your account, and otherwise provide and administer the service you requested. If you are a researcher associated with an institutional account, your institution may provide us with your name, email, and other information such as your department.
Administer Services: Provide the Services to you, administer your account, and fulfill the terms of any agreement you have with us. Note that any information you submit may be used by us to provide the Services.
We use your data to interact with you, your research team members, external collaborators, research participants, research legal services administrators, research ethics board administrators, and research librarians. We also use your data to manage the agreements that must be in place with team members, external collaborators, and research participants before engagement and/or gaining access to your research data repositories.
We may also use your data to facilitate interaction with you by other users of our platform, such as researchers that may request access to your research project, or send you messages related to your research project.
Interacting with Live Chat and Online Support Services: We may provide online support services in the future powered by third parties (e.g. chat bot providers) on our Website, including a live chat functionality. These support services would enable us, and the service providers we work with, to communicate instantly with you and to provide additional information or answer any questions.
Your information may be collected with the aim of operating the online support services and analyzing the use of those services. It may include your first and last name, phone number, email address, IP address, and other data communicated while using the support services. In addition, the support services may collect browsing and usage data on the pages where they are installed, even if you do not actively use them. Live chat conversations may also be logged for quality assurance and training purposes.
By using the support services on our Website, you explicitly consent to the collection and use of your information. You are solely responsible for the information you choose to submit while using the support services.
Communicating with Us: When you contact us with a comment, question, or complaint, you may be asked for information that identifies you (such as your name, address, and phone number) along with additional information we need to help us promptly answer your question or respond to your comment or complaint. If you have signed up for marketing emails or communications, and do not want us to use your personal data for us to market to you, and/or to pass on to third parties for marketing purposes, please contact us through the various communication channels available, as listed under the Section titled “Contact Us, Questions, Updating Your Info, Opting Out” below. You will also be able to unsubscribe from any marketing emails sent to you by myLaminin using a link provided in such emails. We do not sell your personal data.
Where We Store Your Data
All information you provide to us is stored in the servers of our cloud service providers or on your institution's premises. We take reasonable steps to ensure our service providers adhere to the security standards we apply to your information. Where we have given you (or where you have chosen) a password that enables you to access certain parts of our site, you are responsible for keeping this password confidential. We ask you not to share a password with anyone.
Our service providers’ servers are predominantly located in the USA and Canada. Many of our service providers are also located outside of Canada. The location of your research data may be stored on these servers or in some cases where institutional contracts dictate, they are located on the premises of these institutions. While we use appropriate safeguards to keep your information secure, the laws in other places may differ from those in Canada, and authorities in those jurisdictions may access your information in accordance with their local laws.
Safeguards
myLaminin takes the safeguarding of your information very seriously. We have implemented commercially reasonable administrative, technical, and physical safeguards to protect against unauthorized access, use, modification and disclosure of personal data in our custody and control.
Unfortunately, the transmission of information via the Internet is not completely secure. Although we will do our best to protect your personal data, we cannot guarantee the security of your data transmitted to our Services; and thus, any transmission is at your own risk. Once we have received your information, we will use strict procedures and security features to try to prevent unauthorized access.

We may communicate with our third-party service providers, to the extent permitted by law, when you make a request based on your personal data rights that involve the data collected by our third-party service providers. Third-Party Ad Networks

Data Retention

Typically, personal data is maintained during the time you are engaged in the institutional program you applied to, or for up to a year following our last contact with you. We may retain certain data as necessary for:

Children’s Privacy
We do not knowingly collect information from children under the age of 16 and do not target our Services to children under 16. If you are under 16, please do not use the Services. We encourage parents and legal guardians to monitor their children’s Internet usage and to help enforce this prohibition. If you have reason to believe that a child under the age of 16 has provided information to us, please contact us, and we will endeavor to delete that information from our databases.
Governing Law
We have taken commercially reasonable steps to ensure your data is protected in accordance with the Personal Information and Electronic Documents Act (“PIPEDA”), including leveraging the cyber security services, firewalls, as well as other security measures embedded within our third-party service providers. From time to time, your Personal Information may be accessed by myLaminin-authorized services or staff in another country where myLaminin or authorized third parties operate. We implement measures to protect your information and to ensure compliance with applicable laws.
All issues and questions concerning the application, construction, validity, interpretation, and enforcement of this Privacy Policy shall be governed by and construed in accordance with the laws of the Province of Ontario, and the federal laws of Canada applicable therein.

Compliance with Legal Requests. Without limiting the foregoing, we have the right to fully cooperate with any valid legal process from a law enforcement authority with jurisdiction that requests or directs us to disclose customer data or other information on the Platform. Limitation of Liability. TO THE FULLEST EXTENT PERMITTED UNDER LAW, myLaminin AND ITS AFFILIATES, SUPPLIERS, AND PARTNERS HAVE NO OBLIGATION OR LIABILITY (WHETHER ARISING IN CONTRACT, WARRANTY, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY OR OTHERWISE) FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES OR LIABILITIES (INCLUDING, BUT NOT LIMITED TO, ANY LOSS OF DATA, REVENUE OR PROFIT) ARISING FROM OR RELATED TO YOUR USE OF THE PLATFORM OR ANY CONTENT PROVIDED BY OR THROUGH THE PLATFORM, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES IN ADVANCE. SOME STATES DO NOT ALLOW THE LIMITATION OR EXCLUSION OF INCIDENTAL, CONSEQUENTIAL, OR OTHER TYPES OF DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, myLaminin’s LIABILITY AND THE LIABILITY OF EACH OF ITS OFFICERS, DIRECTORS, INVESTORS, EMPLOYEES, AGENTS, ADVERTISERS, LICENSORS, SUPPLIERS, SERVICE PROVIDERS AND OTHER CONTRACTORS TO YOU OR ANY THIRD PARTIES UNDER ANY CIRCUMSTANCE IS LIMITED TO A MAXIMUM AMOUNT OF $100.
Indemnity. You agree to indemnify and hold harmless myLaminin and its affiliates, suppliers, partners, officers, agents, and employees from and against any claim, demand, losses, damages, or expenses (including reasonable attorney’s fees) arising from any User Generated Content, your use of the Platform, your connection to the Platform, your violation of these Terms of Use or your violation of any rights of any third-party.
Equitable Relief. You acknowledge that a breach of these Terms of Use may cause myLaminin irreparable damage, for which the award of damages would not be adequate compensation. Consequently, you agree that we may institute an action to enjoin you from any acts in violation of those provisions, which remedy will be cumulative and not exclusive, and myLaminin may seek the entry of an injunction enjoining any breach or threatened breach of those provisions, in addition to any other relief to which we may be entitled at law or in equity.
Assignment. We are permitted to assign, transfer, and subcontract our rights and/or obligations under these Terms without any notification or consent to you. You are not permitted to assign, transfer, or subcontract any of your rights and/or obligations under these Terms.
The Platform may contain links to other websites that we do not own or control. We are not responsible for any of these other websites and any links to these other websites should not be interpreted as an endorsement of any company, content, or products. We are not responsible to you for any aspect of these other websites, including their content, privacy policies, or anything else. Acceptance of Terms of Use
If you do not agree to these Terms of Use, you are not permitted to use the Platform. myLaminin can change these Terms of Use at any time and without any notice to you. It is your responsibility to review these Terms of Use, as it creates a binding legal agreement between you and myLaminin. If you use the Platform after we have changed any of the Terms of Use, you are agreeing to all the changes. To the extent that you or your employer (to the extent you are using the Platform in your capacity as an agent of your employer) has entered into another written agreement with myLaminin that contains terms that directly conflict with any terms of these Terms of Use, then the conflicted terms outlined in such other agreement will control.
Registration
To use the Platform, you must provide complete, true, correct, and up-to-date information to register for an account.
Once you have submitted such information, you will be provided login credentials to use the Platform. You are responsible for securing your username and password, and you are solely liable for any use of the Platform under your account and password.
It is your duty and responsibility to notify myLaminin promptly in writing if you learn (i) an unauthorized person has your access code and password, and/or (ii) of a privacy or security breach. myLaminin reserves the right to refuse the use of, or revoke the use of, any username at myLaminin’s discretion.
Eligibility
Any access or use of the Platform by anyone under the age of 18 is prohibited. By agreeing to these Terms of Use, you represent and warrant that you are 18 years of age or older and have the legal capacity to enter into and abide by these Terms of Use.
Privacy
Any personal information submitted in connection with your use of the Platform is subject to our privacy policy found at https://www.mylaminin.net/Policies (the “Privacy Policy”), which is hereby incorporated by this reference. We will use information about you that we obtain either directly from you or that we obtain through your use of the Platform in accordance with our Privacy Policy solely for the purpose of providing and enhancing the Platform.
Account and Security
You may need to set up an account to use some of the features of the Platform. During the account setup process, you must provide accurate and complete information. This means that you cannot set up an account using a name or contact information that does not apply to you, and you must provide accurate and current information on all registration forms that are part of the Platform. By accessing any account associated with the Platform, you confirm that you have received authorization from myLaminin and are using only the login credentials issued to you by myLaminin. It is strictly prohibited to use anyone else's account without prior written permission from myLaminin. You are solely responsible for your account and any activity that occurs on it, including safeguarding your password. If you suspect that your account is being used without your consent, please notify us immediately. Transferring your account to someone else is not permitted and could result in legal consequences. myLaminin is not responsible for any losses or damages that may result from unauthorized use of your account.
Proprietary Materials
The Platform contains copyrighted materials, trademarks, proprietary and confidential information, and intellectual property of myLaminin and licensors of myLaminin (collectively, “Proprietary Materials”), including without limitation source code, video, text, software, photos, graphics, images, music, and sound. You agree not to modify, publish, transmit, participate in the transfer or sale of, create derivative works of, or in any way exploit, in whole or in part, any Proprietary Materials. Proprietary Materials may only be accessed through the Platform, and not by or from any other site or means. The right of access to the Platform does not grant you any right to download or store any Proprietary Materials in any medium.
myLaminin reserves all intellectual property rights to the Proprietary Materials, other than as specifically granted under the applicable license granted you under these Terms of Use. No posting, copying, transmission, retransmission, distribution, redistribution, publication, republication, decompilation, disassembling, reverse engineering, or otherwise reproducing, storing, transmitting, modifying, or commercially exploiting any Proprietary Materials in any form or by any means, for any purpose, is permitted without our express written permission.
The entire Platform is protected by copyright. Complying with all applicable copyright laws is your responsibility. If you give feedback on the Platform, for example recommendations for improvements or features, such feedback will be deemed non-confidential and non-proprietary, and implementation of that feedback is owned by myLaminin and may become part of the Platform without compensation to you. We reserve all rights in and to the Platform unless we expressly state otherwise.
Other trademarks, service marks, and logos used on the Platform are the trademarks, service marks, or logos of their respective owners. myLaminin is using these third-party trademarks, service marks, or logos with the permission of the trademark owner or for identification purposes only.
We may, in appropriate circumstances and at our sole discretion, remove or disable access to any materials on the Platform that we believe (or are notified of) may infringe on the rights of others.
User Generated Content
In these Terms of Use, “User Generated Content” means material (including without limitation text, images, audio material, video material, research data, and audio-visual material) that you submit to the Platform, for the sole purpose of using the Platform.
We do not claim any ownership rights in any User Generated Content. You have sole responsibility for all your User Generated Content. You acknowledge and agree that myLaminin and its affiliates will not be responsible for any deletion, corruption, or loss of any User Generated Content or any failure of the Platform to manage User Generated Content. We strongly recommend that you backup all data before using the Platform.
Your User Generated Content must not be illegal or unlawful, must not infringe any third party’s legal rights, and must not be capable of giving rise to legal action whether against you or myLaminin or a third party (in each case under any applicable law). It is strictly prohibited to submit User Generated Content to the Platform if it is or has been subject to the threat of or actual legal proceedings or other similar complaints.
As part of the Platform, myLaminin collects, stores, maintains, transmits, and uses certain information about the Platform and our users. This information is the property of the myLaminin and includes, without limitation, the information you provide about yourself, such as your name, email, and username; file metadata, such as filenames and paths; names and descriptions you assign to endpoints, collections, bookmarks, flows, indices, and transfers; definitions of flows and functions; information about how and whom you want to grant rights and permissions to use the Platform; and log data. myLaminin may use this information for any lawful purpose, including for delivering and improving the Platform, marketing, and research. How myLaminin collects, stores, and uses personal information is outlined in our Privacy Policy.
Notwithstanding the foregoing, the following information remains the sole property of the applicable account holder or end user of the Services: (i) contents of files that you manage using the Platform (“file contents”); and (ii) information that you provide to the myLaminin for the sole purpose of including such information in a search index that you administer (“index data”). By using the Platform, you grant myLaminin a limited, non-exclusive, worldwide, non-transferable right, on a royalty-free basis, with a right to sublicense this right only to independent contractors, subcontractors, or other non-employees involved in providing the Platform, process file contents and to process and Site index data on your behalf solely to provide the Platform. myLaminin may process file contents, for example, to facilitate the transfer of files between your storage systems, but it does not Site or access file contents.
Artificial Intelligence (AI) Features and Use
1. AI Service Scope and Limitations
Our platform may provide optional AI Agents (or “AI Features”) to assist with standard requests, offer guidance, or automate tasks. These AI Agents are offered on an opt-in basis; they are a supplementary tool, not a replacement for direct human consultation or professional advice. The AI-generated responses are provided “as-is,” and myLaminin makes no guarantees of perfection. You should use them with reasonable caution.
2. Accuracy and Liability Disclaimer
AI-generated content may occasionally be incomplete, incorrect, or based on inferred information (“hallucinations”). myLaminin disclaims all liability for any errors, inaccuracies, or damages that may arise from your reliance on AI-generated content. You are solely responsible for verifying the accuracy and appropriateness of the content before relying on it for any critical decisions.
3. Acceptable Use Policy (AI Specific)
You agree not to use the AI Agent feature to generate or provide illegal, harmful, harassing or otherwise disallowed content, including confidential personal data beyond what is strictly necessary. Be aware that while the system does not store your data long-term, submitting very sensitive personal, financial, or legally protected data (e.g., PHI / PII) through the AI is at your own risk.
4. Data Ownership
You retain ownership of all input data (prompts, questions, personal information) you provide to the AI. By using the AI, you grant myLaminin a temporary, non-exclusive license to process that input solely for the purpose of generating a response. This is consistent with our non-storage / limited retention approach.
Acceptable Use
You must not:

Use the Platform in any way that causes, could be reasonably expected to cause, or is intended to cause damage to the Platform or impairment of the availability or accessibility of the Platform; or in any way which is unlawful, illegal, fraudulent, or harmful, or in connection with any unlawful, illegal, fraudulent, or harmful purpose or activity.

Use the Platform to copy, store, host, transmit, send, use, publish, or distribute any material that consists of (or is linked to) any spyware, computer virus, Trojan horse, worm, keystroke logger, rootkit, or other malicious computer software.

Conduct any systematic or automated data collection activities (including, without limitation, scraping, data mining, data extraction, and data harvesting) on or in relation to our Platform without our express written consent.

Republish material from the Platform (including republication on another website).

Sell, rent, or sub-license material from the Platform.

Reproduce, duplicate, copy, or otherwise exploit material on our Platform for a commercial purpose.

Develop, support, or use software, devices, scripts, robots, or any other means or processes (including crawlers, browser plugins, add-ons, or any other technology) to scrape the Platform or otherwise copy profiles and other data from the Platform.

Remove or modify any copyright, trademark, legal notices, or other proprietary notations from the Proprietary Materials or any other content available on the Platform.

Violate or attempt to violate the Platform’s security mechanisms, attempt to gain unauthorized access to the Platform or assist others to do so, or otherwise breach the security of the Platform or corrupt the Platform in any way.
myLaminin reserves the right to monitor the use of the Platform and to suspend, revoke, deny, disable, or terminate your access if you violate any provisions of these Terms of Use or if your behaviour exceeds reasonable limits, as determined in our sole discretion.
Term
These Terms of Use shall remain in full force and effect while you use the Platform and shall remain in effect on Termination except as otherwise provided by these Terms of Use.
Termination
By us: we may, at any given time and in our sole discretion, terminate your access to the Platform, in whole or in part, for any reason and at any time, upon electronic notice to you at your email address or other contact information used when creating an account, including, but not limited to, violation of these Terms.
You agree that we are not liable to you or any third party for any termination of your access to our Platform.
By you: You may terminate your use of the Platform or your account at any time by ceasing to use the Platform, requesting deletion of your account within the Platform through our Trouble Ticketing system (Contact Us) section, or writing to Operations@myLaminin.net.
Upon termination of your account, your right to use the Platform will immediately cease. The associated Privacy Policy and any such ongoing provisions relating to intellectual property, indemnity, liability, payment, communication, dispute resolution, and any other such terms of these Terms of Use which, by their nature, should survive termination, shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, and limitations of liability.

WE DO NOT WARRANT THE COMPLETENESS OR ACCURACY OF THE INFORMATION PUBLISHED ON THE PLATFORM, NOR DO WE COMMIT TO ENSURING THAT THE PLATFORM REMAINS AVAILABLE OR THAT THE MATERIAL ON THE PLATFORM IS KEPT UP TO DATE.
USE OF THE PLATFORM IS AT YOUR OWN RISK. THE PLATFORM IS PROVIDED ON A “AS IS” AND “AS AVAILABLE” BASIS. myLaminin AND ITS AFFILIATES, SUPPLIERS, AND PARTNERS EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF TITLE, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.
myLaminin AND ITS AFFILIATES, SUPPLIERS, AND PARTNERS MAKE NO WARRANTY THAT (i) THE PLATFORM OR ANY PRODUCTS PURCHASED THROUGH THE PLATFORM WILL MEET YOUR REQUIREMENTS; (ii) THE PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; OR (iii) THAT THERE WILL BE NO ERRORS IN THE PLATFORM OR THAT myLaminin WILL FIX ANY ERRORS. ANY MATERIALS OBTAINED THROUGH THE USE OF THE PLATFORM ARE OBTAINED AT YOUR DISCRETION AND RISK, AND myLaminin SHALL NOT BE RESPONSIBLE FOR ANY DAMAGE CAUSED TO YOUR COMPUTER OR DATA OR FOR ANY BUGS, VIRUSES, TROJAN HORSES, OR OTHER DESTRUCTIVE CODE RESULTING FROM USE OF THE PLATFORM OR ANY CONTENT OBTAINED FROM THE PLATFORM.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSION MAY NOT APPLY TO YOU. YOU MAY ALSO HAVE OTHER LEGAL RIGHTS, WHICH VARY BETWEEN JURISDICTIONS.

myLaminin process for submitting an access request or complaint is as follows:

Information Owner: myLaminin will review, and as appropriate, approve or decline access requests, or resolve complaints related to its website. myLaminin will manage the procedural aspect of requests and complaints, ensuring adherence to timelines.
After verifying the identity of the requestor and the validity of the request, myLaminin will acknowledge receipt within 5 business days. We will determine whether the information may be shared based on legal and regulatory requirements, and our organizational policy on data sensitivity. From there, myLaminin will approve or deny the request.
myLaminin will notify the requestor in writing of the decision. For approved requests, we will provide the information securely (e.g., via encrypted email or secure portal; for denied requests, we will explain the reason for denial.
myLaminin will log all access requests, actions taken, and outcomes securely.
Appeals must be submitted in writing to Operations@myLaminin.net within 30 days of the initial resolution.
